Localdex Terms of Use

Effective date: 11 October 2026

Pilot version 1. This page is under legal review and will change; we will post each new version here.

These terms apply to your use of Localdex, including the website, the REST API, the MCP and A2A interfaces, website audits and Localdex emails. Localdex is run by Resolve Holdings Pty Ltd (ABN 15 676 829 477), trading as Carbon Black Digital, Gold Coast, Queensland ("we", "us").

By using Localdex you agree to these terms and to our Privacy Policy. If you don't agree, don't use Localdex.

1. Localdex is a pilot

Localdex is an early pilot service. Features, categories, coverage areas and limits will change. The service may have errors, be unavailable or be paused. We may change or end the pilot at any time. Where practical, we will give account holders reasonable notice and tell them what happens to their data.

Localdex is free during the pilot. If we introduce fees, we will tell you before they apply, and you can choose whether to continue.

2. What Localdex does and doesn't do

Localdex helps people and AI agents:

  • find service businesses that say they cover a job's category, location and requirements,
  • read a business's published profile, and
  • send a quote request to a few selected businesses (currently up to three) after a person approves it.

Localdex does not:

  • take bookings or payments, or hold money,
  • act as an agent, broker or contractor for any job,
  • become a party to any agreement between a customer and a business,
  • check a business's work, licences, insurance or prices (except any check expressly shown as "verified", and only to the extent described), or
  • guarantee that a business will respond, quote, be available or do the job well.

A quote request is an enquiry, not a contract. A quote is the business's own offer. Any agreement you make for a job is between you and the business, on terms you agree with them. You are responsible for checking a business is suitable, licensed and insured for your job before you engage it.

3. Accounts and eligibility

  • You must be at least 18 and able to enter into a binding contract.
  • Give a real email address you control and keep your details accurate. You need a confirmed email address to approve requests.
  • Keep your password secure. You are responsible for activity on your account. Tell us promptly at [email protected] if you think your account has been misused.
  • One person per account. Don't share accounts or sign up for someone else without their authority.
  • If you act for a business or organisation, you confirm you are authorised to bind it to these terms, and "you" includes that business.

4. Business listings

If you create or manage a business listing:

  • You are responsible for its accuracy. This includes services, service areas, capacities, prices, availability statements, contact details, ABN and any claims about licences or qualifications. Keep it current and remove anything that stops being true.
  • You must be authorised to list the business. Don't impersonate or list a business you don't represent.
  • Listing content must comply with the law, including the Australian Consumer Law. Don't make false or misleading claims.
  • Respond to quote requests honestly. If you can't do a job, decline it.
  • Published listings are public. People and AI agents can read them through the website and our public profile API.

We may review, moderate, verify, decline to publish, edit for format, suspend or remove a listing if we reasonably believe it is inaccurate, misleading, unauthorised, unlawful or breaches these terms, or for pilot management reasons. Where reasonable, we will tell you why and give you a chance to fix it. "Verified" badges show only the specific check we recorded. They aren't an endorsement.

5. Quote requests

  • Human approval is required. Nothing is sent to a business until a signed-in person with a confirmed email address reviews and approves the exact request. Only approve requests you are entitled to make. That means requests for yourself, or for someone who has authorised you.
  • Check the details. If you used the free-text description or an AI agent prepared the request, the details are an interpretation. You must confirm the category, locations, dates, times, quantities and other details before you approve. We aren't responsible for errors in details you approved.
  • Don't send spam, fake, test or duplicate requests, or requests for unlawful work.
  • Don't include health details, financial account details or other sensitive information in a request. Health categories need only the service, location and preferred time.
  • Daily limits apply. During the pilot, one person can send up to 20 approved requests per day, and one API client up to 100. We may change these limits.
  • Businesses receive the details you approved, not your name or email address. Their replies come back through Localdex.

6. AI interpretation

Localdex uses AI (currently Anthropic's Claude models) to turn free-text descriptions into search fields and to suggest business facts from website audits. AI output can be wrong or incomplete. It is shown to you as a suggestion to confirm or reject. It never decides which businesses are eligible, and nothing is sent until a person approves it. Don't rely on AI output without checking it.

7. API, MCP and A2A access

If we issue you an API key:

  • Keep it secret. We show it once and can't recover it. You are responsible for all use of your key. Tell us immediately if it is exposed so we can revoke it.
  • Use it only within its scopes and for the client it was issued to.
  • Agents can prepare, not approve. No interface lets an API client or agent approve, send, book or pay. A real person must approve each request through the approval link. You must give approval links only to the customer, or to the person they authorised, and name that person as the approver where you can.
  • Represent your users honestly. Don't misstate who a request is for or what a business offered.
  • Respect rate limits and daily caps. Use the documented idempotency keys so retries don't create duplicates.
  • Show your users the limits of Localdex data: listings are business-supplied, and match reasons and AI interpretations need confirmation.

We may set, change or enforce limits, and may suspend or revoke any key at any time, including for suspected misuse. Revoking a key doesn't cancel requests already approved.

8. Acceptable use

Don't:

  • scrape, bulk-download or systematically copy listings or profiles, other than through the documented API within its limits,
  • use Localdex data to build a competing directory, to send unsolicited marketing, or to contact businesses outside the purpose of a genuine enquiry,
  • get around rate limits, caps, approval steps or access controls, or use multiple accounts or keys to do so,
  • probe, scan or test Localdex's security without our written permission. Report vulnerabilities to [email protected],
  • upload malware, or interfere with or overload the service,
  • send prompts or content designed to manipulate Localdex's AI features or other users' agents,
  • impersonate any person or business, or misrepresent your connection with them,
  • harass, threaten or defraud anyone, or
  • use Localdex for anything unlawful.

9. Website audits

  • Only submit websites you own or are authorised to assess. Localdex's crawler (ACNBot) reads a small sample of public pages, respects robots.txt, and never submits forms, runs scripts or invokes agent tools on the site.
  • Results are indicative. The Localdex Agent Readiness Score is a conservative baseline from a single automated fetch. It isn't an industry standard, certification, audit of compliance or guarantee of search placement.
  • Suggested facts are unverified until the business owner reviews and accepts them. Claiming an audit doesn't verify ownership of a business or domain.
  • Anyone with a report's link can open it. Reports are deleted after 30 days.
  • Audits are limited to five per hour per connection, plus a daily overall allowance.

10. Content and licences

Your content. You keep ownership of the content you submit, such as listings, requests, quotes and notes. You give us a non-exclusive, royalty-free, worldwide licence to host, copy, format, store, display and transmit it to run Localdex. For published listings, this includes generating public profiles and letting people and AI agents read, cache and use them to help users find and contact businesses. The licence ends when your content is removed, except for copies already lawfully made, backups, and records we keep under our Privacy Policy. You confirm you have the rights to the content you submit.

Public profile data. You may use published profile data from Localdex to help your users find and contact businesses. You may not republish it as a directory or dataset.

Our content. The Localdex software, design, scoring method, documentation and our compilation of data belong to us or our licensors. Apart from the rights in these terms, you get no rights in them.

Location data. Localdex uses Australian Bureau of Statistics (ABS) Australian Statistical Geography Standard (ASGS) Edition 3 data, © Commonwealth of Australia, licensed under Creative Commons Attribution 4.0 International. We have modified it, for example by calculating centroids and linking postcodes. Details are on our [About the location data]([SITE URL]/about) page. The ABS does not endorse Localdex.

11. Our responsibility to you

Consumer guarantees. Nothing in these terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or condition, under the Australian Consumer Law or any other law that can't lawfully be excluded, restricted or modified ("non-excludable rights").

Subject to your non-excludable rights:

  • Localdex is provided "as is" during the pilot. We don't promise that it will be uninterrupted, error-free or fit for a particular purpose, or that listings, matches, AI interpretations or audit results will be accurate or complete.
  • We aren't liable for what businesses or customers do or fail to do, including the quality, price, safety or legality of any job, or any dealings between them.
  • Where the law lets us limit our liability for failing to meet a non-excludable guarantee, our liability is limited, at our option, to supplying the services again or paying the cost of having them supplied again.
  • We aren't liable for any indirect or consequential loss, or for loss of profit, revenue, data or opportunity, however caused.
  • Otherwise, our total liability to you for all claims connected with Localdex is limited to AUD 100 or the fees you paid us in the 12 months before the claim, whichever is greater.

These limits don't apply to the extent that loss is caused by our fraud, wilful misconduct or negligence, or where the law doesn't allow them.

Your responsibility. You are responsible for loss or claims caused by your breach of these terms, your unlawful conduct, or (for businesses) your listing content, to the extent you caused them.

12. Suspension and ending your use

You can stop using Localdex at any time. To close your account, use Delete my account in Account settings, or contact us at [email protected]. Our Privacy Policy explains what we keep after closure.

We may suspend or end your access, remove content, revoke API keys or suspend listings if:

  • you breach these terms,
  • we reasonably suspect fraud, misuse or a security risk,
  • the law requires it, or
  • we change or end the pilot.

Where reasonable, we will tell you why and give you a chance to fix the problem first. Sections 2, 10, 11, 13 and 14 continue after your access ends.

13. Changes to these terms

We may change these terms. We will post the new version with a new effective date. For changes that materially affect you, we will tell account holders by email or on the site at least 14 days before the change applies, unless it is needed sooner for legal or security reasons. If you don't agree, stop using Localdex and ask us to close your account. If you keep using Localdex after a change applies, you accept it.

14. General

  • These terms are governed by the laws of Queensland, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Queensland and courts that can hear appeals from them.
  • If any part of these terms is invalid, it is read down or severed, and the rest stays in force.
  • If we don't enforce a term straight away, we haven't waived it.
  • You may not transfer your rights under these terms without our consent. We may transfer ours to a business that takes over Localdex, and we will tell you if we do.
  • These terms and our Privacy Policy are the whole agreement between you and us about Localdex.
